Terms of Service

By accessing or using services provided by Faceport Inc. ("Faceport," "we," "us," or "our"), including the Faceport platform and related AI meeting agent features, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

Faceport provides a platform that enables organizations to deploy AI expert agents that participate in video meetings in a natural, conversational way. These agents can be trained on internal materials you provide, such as documents, knowledge bases, and organizational context, so they can collaborate with your team as informed participants in live meetings.

Our services may integrate with third-party platforms including video conferencing providers, meeting infrastructure services, and AI model providers to deliver this functionality.

You must create an account to use certain features. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use.

Access to the platform may be subject to administrator approval. We reserve the right to suspend or revoke accounts that violate these terms or pose a security risk.

You agree not to:

• Use the service for unlawful, harmful, or deceptive purposes
• Upload content you do not have the right to use or share
• Attempt to reverse engineer, disrupt, or overload our systems
• Use AI agents to impersonate real individuals without disclosure or consent where required
• Violate the rights of meeting participants or third parties

You retain ownership of content you upload or provide for training AI agents, including internal documents, URLs, and other materials ("Customer Content"). By providing Customer Content, you grant Faceport a limited license to host, process, and use that content solely to operate, maintain, and improve the services for your organization, including training and configuring your AI agents.

You represent that you have all necessary rights to provide Customer Content and that its use as described here does not violate any law or third-party rights.

Our platform relies on third-party services such as LiveKit for video meetings and cloud recording, OpenAI for AI processing and voice agents, and Supabase for data storage. Your use of those services may be subject to their own terms and policies. Faceport is not responsible for third-party services outside our reasonable control.

AI-generated responses are provided for informational and collaborative purposes. AI agents may produce inaccurate, incomplete, or outdated information. You are responsible for evaluating AI output and should not rely on it as a substitute for professional judgment, legal advice, medical advice, or other expert counsel.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FACEPORT INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO FACEPORT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

You may stop using the service at any time. We may suspend or terminate your access if you violate these terms or if we discontinue the service. Upon termination, your right to use the service ends, but provisions that by their nature should survive (including intellectual property, disclaimers, and limitations of liability) will remain in effect.

We may update these Terms from time to time. We will post the revised version with an updated effective date. Continued use of the service after changes become effective constitutes acceptance of the revised Terms.
